EZ Referrals Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the EZ Referrals platform, applications, and services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Use of Services

1. You must be at least 18 years old and authorized to act on behalf of your business to use the Services.
2. You agree to use the Services only for lawful purposes and in compliance with all applicable laws, including but not limited to:
   • The Telephone Consumer Protection Act (TCPA)
   • The CAN-SPAM Act
   • GDPR and other applicable data protection laws
   • Any other SMS, privacy, and advertising regulations in your jurisdiction

Email and Gmail Sending

Where the Services permit you to connect a third-party email account, including Gmail, you authorize EZ Referrals to send outbound emails on your behalf using the Gmail Send API ( https://www.googleapis.com/auth/gmail.send) solely for emails that you explicitly configure within the Services, such as referral invitations and follow-up messages.

EZ Referrals uses this access only to send emails and does not access, read, store, modify, or analyze your Gmail inbox content, metadata, messages, or message history.

You are solely responsible for the content of all emails, the selection of recipients, and compliance with all applicable email and marketing laws and the policies of your connected email provider. You may revoke Gmail access at any time through your Google Account settings.

2. Business Responsibilities

1. Consent: You are solely responsible for obtaining valid, explicit consent from all recipients before sending SMS messages.
2. Content: You are responsible for all message content sent through EZ Referrals, including its accuracy, legality, and compliance.
3. Opt-Out: You must honor opt-out requests. All messages must include clear opt-out instructions (for example, “Reply STOP to unsubscribe”).
4. Indemnification: You agree to indemnify and hold harmless EZ Referrals from any claims, damages, fines, or liabilities arising from your use of the Services, including non-compliance with applicable laws.

3. Our Role

EZ Referrals provides software and tools designed to help businesses send referral-related SMS messages in a compliant manner. While we may offer features, workflows, and templates to support compliance, businesses are solely responsible for obtaining consent, managing recipients, and complying with all applicable laws and carrier requirements.

We also provide optional tools that allow businesses to send referral-related emails through connected third-party email providers. EZ Referrals does not control email recipients, content, or scheduling and is not responsible for email delivery, inbox placement, or third-party provider policies.

We reserve the right to suspend or terminate accounts that we believe are engaged in abuse, unlawful activity, or violations of these Terms.

4. End-User (Recipient) Terms

1. Recipients may receive SMS messages sent through EZ Referrals on behalf of participating businesses.
2. Recipients may opt out at any time by replying STOP.
3. Message and data rates may apply.

5. Intellectual Property

All software, trademarks, and content provided by EZ Referrals are owned by EZ Referrals or its licensors. You may not copy, modify, or distribute our materials without prior written consent.

6. Limitation of Liability

To the maximum extent permitted by law, EZ Referrals shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business, or data.

7. Termination

We may suspend or terminate your access to the Services at our discretion for violations of these Terms or applicable law.

8. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States.
