1. Use of Services

1. You must be at least 18 years old and authorized to act on behalf of your business to use the Services.
2. You agree to use the Services only for lawful purposes and in compliance with all applicable laws, including but not limited to:

   • CAN-SPAM Act
   • GDPR and other data protection laws where applicable
   • Any other SMS, privacy, and advertising regulations in your jurisdiction

2. Business Responsibilities

1. Consent: You are solely responsible for ensuring that all recipients of SMS messages have provided valid consent to receive communications from you.
2. Content: You are responsible for the content of all messages sent via EZ Referrals, including accuracy, compliance, and appropriateness.
3. Opt-Out: You must honor and maintain opt-out requests. All messages sent via EZ Referrals must include clear opt-out instructions (for example, “Reply STOP to unsubscribe”).
4. Indemnification: You agree to indemnify and hold harmless EZ Referrals from any claims, damages, or liabilities arising from your use of the Services, including but not limited to non-compliance with SMS laws.

3. Our Role

EZ Referrals provides software to automate referral requests via SMS. We are a technology provider and are not responsible for obtaining consent, verifying recipients, or managing your compliance obligations. We may provide tools and templates to assist with compliance, but the ultimate responsibility remains with you.

We reserve the right to suspend or terminate your account if we suspect abuse, unlawful activity, or violation of these Terms.

4. End-User (Recipient) Terms

1. By receiving SMS messages sent through EZ Referrals, recipients agree to these Terms as they apply to them.
2. Recipients may opt out of receiving messages at any time by following the instructions in the message (for example, replying “STOP”).
3. Standard message and data rates may apply.

5. Intellectual Property

All software, trademarks, and content provided by EZ Referrals are our property. You may not copy, modify, or distribute our materials without prior written consent.

6. Limitation of Liability

To the maximum extent permitted by law, EZ Referrals shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of business, profits, or data.

7. Termination

We may suspend or terminate your account at our sole discretion for violations of these Terms, unlawful use of the Services, or if required by law.

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the latest version. Continued use of the Services constitutes acceptance of updated Terms.
